planning in all aspects of international, federal, state and local taxation and, if
appropriate, tax litigation and administrative procedure. We frequently represent clients
in tax controversies with the IRS, the Pennsylvania Department of Revenue and local
jurisdictions at all stages, from audit to administrative appeal to trial.
Business Formation: We advise clients who are starting
new businesses or expanding into new markets in
selecting a form of entity and jurisdiction in which to
operate that will allow them to minimize taxes and
maximize legal protection, and, when appropriate, to
qualify for and maintain tax-exempt status.
Commercial Transactions: We assist clients in structuring
tax-efficient commercial transactions and routinely
draft shareholders’ agreements, limited partnership
agreements and limited liability company agreements
to ensure compliance with the tax laws.
Mergers, Acquisitions and Dispositions: We work
closely with accountants and other consultants of our
clients to provide tax advice in connection with the
purchase or disposition of businesses, including analysis
and techniques for effecting tax-free reorganizations,
recapitalizations and other tax-savings strategies.
Real Estate: We provide tax advice in connection with
the purchase or disposition of real property, including
like-kind exchanges, and we represent our real estate
clients in local real estate tax assessment appeals
through all stages, from meeting with the local assessor
to appeal to the county board of assessment to trial.
Venture Capital and Other Private Equity Offerings:We advise our clients with regard to the structure of investment opportunities and the attendant tax implications and assist in drafting and reviewing
documents to ensure compliance with the tax laws.
Tax Controversy: If a tax controversy arises during a
client’s business or financial transaction, we represent
the client in the audit and appeals process before the
IRS, the Pennsylvania Department of Revenue and the
local taxing authorities, and if necessary, in litigation
before the federal and state courts having jurisdiction
over tax matters. We also represent clients in collection
matters and offers in compromise.
