We have extensive experience counseling our diverse real estate clients in a wide range of sophisticated real estate transactions and operations, regionally and throughout the United States.

Our real estate clients include users, investors, developers, ground lessors and lessees, landlords and tenants, condominium associations, lenders and property management companies. The real estate matters we typically handle involve office buildings, retail centers, senior living communities, single family home subdivisions, and industrial, warehouse and manufacturing facilities. Our attorneys bring their extensive real estate law knowledge and experience to all stages of a transaction, from drafting letters of intent to negotiating agreements, to completing title and survey review, to closing and document execution, all to fully serve our clients’ needs.

Our real estate attorneys regularly involve our tax colleagues to assess tax risks in client transactions and to structure tax-deferred property exchanges. Where appropriate, we also team with our litigation colleagues in resolving disputes.
Examples of Real Estate Representation
Retail Projects: We advise individuals, investor groups and institutional clients in the development, acquisition and sale of retail property, including power centers, community shopping centers and single user buildings.

Office Buildings: We represent a diverse clientele of individuals and institutions, users and investors, including real estate investment trusts, in all aspects of office project acquisition and disposition involving multi-building campuses and single user buildings.

Residential Projects: We assist our clients in the acquisition, financing and development of multi-family and single family residential projects, including senior housing.

Leasing: We represent ground lessors and lessees in connection with the development of pad sites, including build-to-suit projects, and we have extensive experience representing both landlords and tenants in significant leases for office, warehouse and industrial space. We routinely represent landlords in leases to national retail anchor, big-box and in-line store tenants.

Financing: We counsel regional lending institutions in connection with construction and permanent financings, including tax-exempt and taxable bond financings, first mortgage financing, tiered mortgage financing with intercreditor agreements, mezzanine financing, leasehold and ground lease financing and the assumption of existing mortgage debt. We also handle loan restructurings and foreclosures.

Land Development: We help clients understand and navigate the maze of local and state regulatory approvals and permits impacting the ownership and use of real property. We also prepare, submit and present applications and materials for zoning, land use and subdivision approvals before local planning and zoning boards on behalf of commercial, industrial and residential clients.

Entity Structuring: We advise our clients on the most effective ownership structures, addressing liability, financing and tax considerations.
